Legal Associate – License & Compliance

JOB TITLE: Legal Associate

General Summary: The Legal Associate is responsible for the administration and management of the Corporation’s portfolio of license agreement for the design, manufacture and distribution of eyewear pursuant to a license for US Brands. The position is the central point of coordination within the Headquarters for all of the license agreements and is responsible for ensuring that the Corporation fulfills its contractual requirements under such agreements. In addition, the Associate is responsible for the administration and management of other contracts maintained by the Corporation such as distributor agreements, joint venture agreements, and manufacturing agreements.

Essential Duties and Responsibilities

  • In partnering with Corporate Headquarter Council, responsible for administration, creation, editing, storing, monitoring, and overseeing all agreements and contracts to which the Corporation is a party.
  • Monitor and track all milestones, such as renewals, and deliverables under each license agreement and coordinate fulfillment of contractual requirements with relevant areas of the Corporation. Monitor all license agreement requirements for compliance, investigate any issues identified through the monitoring process, and report the results of such monitoring to the Corporation’s management.
  • Document evidence of compliance with license agreement requirements.
  • Define license agreement requirements, negotiate renewals and amendments to existing license agreements as well as participate in the negotiation and drafting of new license agreements.
  • Maintain hard copy and electronic copies of license agreements as well as archival records of same.
  • Develop and maintain summaries of each license agreement.
  • Advise corporate staff regarding contractual requirements such as approval of advertising, distributor requirements, royalty payment obligations and submission of marketing plans.
  • Draft, negotiate and maintain distributor agreements that comply with applicable licensor requirements.

Experience and Requirements

The successful candidate must have a Juris Doctor from an accredited law school (required)
Admission to the New Jersey State Bar (preferred)
2 plus years of license and contract experience

Thorough understanding of legal principles regarding the following: commercial contracts, supply, manufacture and
licensing agreements, M&A, joint ventures and product portfolio licensing
