Princeton Legal Search Group has been retained on an exclusive basis by a global chemical manufacturing company to lead the search for an experienced lawyer for an in house counsel role. This can be a fully remote position.
Position Overview:
As a key member of the team, you will lead the Company’s legal function by providing in-house legal services in a wide variety of areas; with a focus on commercial contract services. You will provide guidance, direction and support, ensuring that that the Company meets compliance obligations. You will manage outside counsel, implement tactics, policies and procedures as well as represent the Company as necessary with external stakeholders.
Position Responsibilities:
- Prepare, negotiate, and interpret contracts (e.g. sales agreements, vendor agreements, non-disclosure agreements, independent contract agreements, distributor/agent, rebate letters, audit letters, factoring agreements, loan documentation, lease agreements, guest operations, etc.)
- Provide corporate housekeeping support (e.g. manage and track POA’s, record keeping, audit letters, committee reports/ meetings, parent company guarantees, intercompany agreements, archive and support Contract Management System, etc.)
- Act as an interface and point of contact with the client and internal business team members regarding contractual issues
- Work proactively (with external counsel as necessary) to track legal trends and make recommendations with an emphasis on contracts and compliance areas (e.g. competition issues, customer requests, data privacy, etc.)
- Work with operations to implement process and continuous improvements intended to mitigate legal risk in a manner that both satisfies legal requirements and the business objectives.
- Prepare and implement policies and practices in response to legal and regulatory requirements
- Prepare and deliver training regarding legal and regulatory requirements.
- Recommend and supervise external legal services, including legal spend
- All other duties as assigned
Position Requirements:
- Juris Doctor degree from an accredited law school. A member in good standing with a State bar within the United States and a member of at least one State Bar
- Typically requires a minimum of 5 years of related experience in law firm and/or corporate legal department.
- Experience drafting and negotiating a wide range of commercial contracts
- Hands-on mentality, willing to “roll up sleeves” and do what is needed
- A high level of integrity, excellent judgment and analytical skills, and the ability to identify all relevant issues.
- Enjoys multi-tasking, researching and managing multiple projects simultaneously and has superior organizational skills
- Excellent decision-making and problem-solving skills, as well as strong written and verbal communication skills (including good listening skills) and the ability to achieve positive outcomes through influence.
- An ability to provide sound legal advice that is responsive to the business needs of the company and its subsidiaries, as well as responds to clients’ needs consistent with corporate strategies and objectives.
- An appreciation and awareness of the legal/business interface.
