Princeton Legal Search Group has been retained on an exclusive basis to lead the search for the first ever General Counsel for a major non-profit organization in Philadelphia, Pennsylvania. Our client is a mission-driven global organization focused on improving world health and promoting quality health care.
Reporting directly to the President/CEO, the General Counsel will be a member of the executive leadership team and will be responsible for advising and assisting the CEO, other members of the executive leadership team, the senior leadership team and the Board of Trustees with all legal and regulatory matters across the enterprise to ensure compliance with applicable law and regulations. The broad range of responsibilities for this new role include counseling on transactional matters, negotiating and drafting contracts, providing legal counsel and guidance on trademarks, intellectual property and trade secrets, tax exempt status, real estate leases, policies, employment practices, insurance and risk management.
The General Counsel will be responsible for retaining outside counsel as appropriate, serving as the primary interface with outside counsel, and for overseeing the work of outside counsel. The General Counsel will also be responsible for managing outside litigation counsel with respect to legal actions taken for or against the organization.
A focus on corporate governance is another significant area of responsibility for this role. The General Counsel will advise and support the CEO and the Board of Trustees on governance issues, legal compliance, and Board policies so as to ensure that Board members are able to comply with their fiduciary responsibilities. The General Counsel will attend Board meetings and Board committee meetings on a regular basis.
