EXECUTIVE DIRECTOR, CORPORATE COUNSEL

This position is responsible for supporting the Vice President – Corporate Counsel and the Executive Vice President – General Counsel and Secretary.

Responsibilities:

  • Accountable for corporate matters affecting the Company domestically & internationally as it relates to:
    • Commercial Agreements (e.g. MPOAs, service agreements, supply agreements, consulting agreements, contract disputes, etc.)
    • Finance, tax and treasury (e.g., financings and corporate and tax restructurings, etc.)
    • Corporate governance (e.g. board resolutions and consents, press releases, etc.)
    • SEC Compliance (e.g. SEC regulations, voluntary listing standards, etc.)
    • International (e.g. licensing arrangements)
  • Negotiates and counsels clients on company transactions, including but not limited to revenue-generating transactions worth several millions of dollars and service agreements.
  • Exercises independent judgment on the nature and amount of risk that Toys “R” Us can assume and its related exposure on third party claims and liability caps on company transactions. Advises senior level management on identified risks.
  • Serve as principal counsel for Asia Joint Venture business and further provides U.S. based legal support for our
    international operations.
  • Responsible for training and developing Corporate Counsel to practice law in an in-house environment and provide cost-efficient, timely and practical legal advice to clients.

Skills/Abilities:

  • Must possess the ability to balance acting autonomously and collaboratively in a fast-paced environment
  • Must be comfortable handling multiple projects and transactions in parallel
  • Must possess exceptional negotiating, writing, speaking and analytical skills
  • Must have the ability to develop relationships of trust and confidence
  • Must demonstrate business sense, strong legal judgment, and a strong work ethic yet maintain a sense of humor

Experience:

  • A minimum of 7-10 years’ experience as an attorney
  • Prior retail experience in broad categories preferred; must be open to broad scope of challenging and unique assignments.
  • Strong drafting and negotiating skills, as well as strong business acumen.
  • Ability to demonstrate a strong foundation of how a Company operates cross-functionally is crucial.
  • A combination of both in-house and law firm practice experience is desired
  • Experience with international laws (in any region) is desired

Education:

  • JD and excellent academic credentials required
