We have been engaged on an exclusive basis by a rapidly growing publicly traded biotechnology company in New Jersey to lead the search for a Corporate Counsel. This role reports directly to the General Counsel and has tremendous growth potential. The Corporate Counsel provides legal advice and support across the company, focusing on: drafting, reviewing, negotiating, and managing the execution of a broad array of complex commercial, business development, and other contracts; managing cross-functional teams to drive contracts and deals to conclusion; Working on M&A: assisting in the development and implementation of policies and procedures regarding contracts and related matters; performing and facilitating transaction due diligence; counseling management and other stakeholders about transaction and contract terms; and developing and implementing contract strategies. Supported functions include corporate, business development, procurement, sales and marketing, commercial strategic and operational functions, regulatory, R&D, market access, and medical affairs.
Key Responsibilities
- Drafting, reviewing, negotiating, and managing the execution of a broad array of complex commercial, business development, and other contracts, including confidentiality agreements, agreements with suppliers and other vendors, services agreements, consulting agreements, collaboration agreements, clinical and other study agreements, and other contracts.
- Drafting and negotiating contracts with a view to risk management and compliance with laws and regulations applicable to a global life sciences company, such as:
– the Federal Food, Drug and Cosmetic Act and Public Health Services Act,
– the False Claims Act (and similar state laws),
– the Anti-Kickback Statute (and similar state laws) and
– the Foreign Corrupt Practices Act (and other anti-bribery laws).
- Supporting M&A activity.
- Identifying the need for, engaging, and incorporating the advice of, financial, technical, and other subject matter experts when working on a contract or transaction.
- Managing cross-functional transaction teams to drive contracts and deals to conclusion.
- Assisting in the development and implementation of policies and procedures regarding contracts and related matters.
- Analyzing and reporting on contract terms and transaction issues and counseling management and internal clients regarding transactions and negotiated terms, including requirements, obligations and risks.
- Assisting in the development and maintenance of standard contract forms and templates.
- Performing and facilitating transaction due diligence.
- Assisting in the management of the Contracts Manager.
- Assisting in the development of contract management processes and strategies.
- Assisting in the development of contract repositories, including the configuration of contract files and the selection, implementation and configuration of contract management systems.
- Participating in, and/or presenting to, various internal company committees and work teams, as assigned.
Skills and Experience
- At least 7 years of relevant legal experience, including M&A training and experience, drafting, reviewing, revising, and negotiating complex agreements and providing legal counsel on contracts and transactions. Experience in the pharmaceutical industry is preferred.
- J.D. degree from an accredited U.S. law school (or the equivalent); high academic achievement
- Licensed to practice law in one or more U.S. states; either admission to the New Jersey Bar or eligibility for in-house qualification in New Jersey
- Knowledge of the legal and regulatory environment applicable to a global life sciences company, including: the Federal Food, Drug and Cosmetic Act, the Public Health Services Act, the False Claims Act (and similar state laws), the Anti-Kickback Statute (and similar state laws), and the Foreign Corrupt Practices Act (and similar anti-bribery laws).
- Proficiency with Microsoft Office Suite and comfort and proficiency with contract management tools.
- Excellent oral and written communications skills and demonstrated leadership on cross-functional teams

- Ability to prioritize work to meet changing needs
- Strong ability to influence and present complex information to senior leaders
- Demonstrated success in proactively and independently driving transactions and processes
Salary commensurate with experience. Bonus eligible. Generous equity grant at the time of hire.
