Princeton Legal Search Group has been engaged by a publicly traded real estate investment company that is seeking an Associate General Counsel. The position will be based in New Jersey and in this role you will have responsibility for SEC reporting (10K, 10Q,) filings and communications. You will be directly involved in complex business transactions and will be responsible for negotiating and drafting a wide variety of agreements, including marketing agreements, license agreements, real estate leases, confidentiality agreements, and other general business contracts both domestically and internationally. The Associate General Counsel will Partner with the General Counsel to serve as a key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Further responsibilities include:
- Assist in protecting the company’s legal interest and maintaining its operations in accordance with best practices and corporate governance controls.
- Advise on legal aspects of the company’s financing including assessing and advising on current and future business structures and legal entities.
- Assist the General Counsel on matters of corporate governance and with a board of trustees.
- Manage complex litigation matters.
Candidates should have 3-5 years of training and experience as a securities lawyer at a large law firm. Public company M&A experience and general commercial experience is desirable. Knowledge of REIT rules and regulations is desirable and a prior real estate background is a plus. Salary commensurate with experience.
