Princeton Legal Search Group has been retained on an exclusive basis by Integra LifeSciences to lead the search for an experienced lawyer for the position General Counsel, International. Integra, a publicly traded company with headquarters in Princeton, New Jersey is a world leader in medical technology and neurosurgery. This position can be based in the United States or in Europe. In this role, you will report to the Executive Vice President & Chief Legal Officer and be responsible for managing legal affairs related to Integra’s International division. As a key member of the legal leadership team and the company’s senior management team, this highly visible individual will provide effective advice and strategic support to Integra leadership on a variety of matters relating to the company’s rapidly-growing business outside the United States. The General Counsel, International will be directly involved in complex business transactions, the negotiation of key contracts, entity formation and product registrations, corporate governance and privacy, risk management, and compliance, among other areas. This role will require an inclusive leadership style and a passion for coaching and developing diverse talent. The General Counsel, International should possess exceptional communication skills, be comfortable making decisions with imperfect information, and embrace working with and coordinating cross-functional teams.
RESPONSIBILITIES
Core responsibilities include:
- Implementing the overall philosophy and strategy of the organization regarding all international legal operations, matters, and decisions, and ensuring our practices, policies, business activities and decisions are compliant and consistent with Integra’s values and culture;
- Serving as a member of, and collaborating effectively with, the International leadership team, providing strategic advice on a variety of high-level, critical and time-sensitive issues relating to the company’s international business;
- Managing, developing and motivating a team of attorneys and other professionals working in multiple regions across the globe;
- Participating in the development and execution of international expansion strategies, including the establishment of businesses in new markets and the refinement of business models in existing markets;
- Supporting RFP and tender submissions and negotiating agreements with distributors and suppliers in multiple jurisdictions and under a variety of complex legal and regulatory schemes;
- Collaborating with the compliance team to ensure Integra’s business, and its business partners outside the United States, operate with transparency, in conformity with applicable law, and according to the highest ethical standards;
- Managing international subsidiaries and other entities, including intercompany agreements and intercompany loans ;
- Providing product counseling and guidance on commercial and regulatory affairs initiatives to ensure compliance with applicable laws and regulations;
- Supporting Business Development with respect to international activities, conducting or providing support on due diligence, drafting and reviewing term sheets and definitive agreements, and participating in post-closing integration activities;
- Managing the selection, work direction and expenditures of outside counsel as well as the Company’s international legal budget.
Additional responsibilities and expectations in this role include:
- Providing support for employment matters in foreign jurisdictions;
- Conducting legal and other factual research as needed;
- Developing an understanding of and familiarity with the company’s business, people, products, technology, markets, facilities, customers and competitors in order to assist the company in meeting overall strategic objectives;
- Handling a high volume of legal work and responding to client demands efficiently and practically;
- Engaging as a valued business partner within the law department and to other internal clients;
- Performing other duties and special projects in the Law Department as assigned.
QUALIFICATIONS
Requirements include:
- Bachelor’s degree and J.D. from accredited institutions;
- 15 to 20 years of experience in a combination of private practice and corporate legal department, with substantial experience supporting international business activities. Pharmaceutical or medical device industry experience strongly preferred;
- Comfort navigating different international legal and regulatory schemes;
- Understanding of local laws relating to distributors, sales agents and other commercial partners;
- Familiarity with RFP and tender processes;
- Experience with acquisitions and divestitures, including the negotiation of related agreements and management of integration activities;
- Initiative and ability to manage multiple fast-paced projects at the same time from start to completion;
- Flexibility and willingness to work on a variety of different legal disciplines;
- Significant organizational, time management and follow-up skills and personal discipline necessary to maintain current accounting of all active matters and proactively and routinely update relevant stakeholders on matter status;
- Strong attention to detail;
- High energy and a positive attitude;
- Sound judgment combined with comfort and willingness to make decisions;
- Ability to travel as needed to support matters and manage the team (estimated to be less than 20% of the time);
- Willingness to embrace change necessary to drive or support continuous improvements within the law department and for other internal clients;
- Capability to represent the company in a professional manner and uphold the highest standards of ethical business practices and socially responsible conduct in all interactions with other colleagues, customers, suppliers, and other business associates of Integra LifeSciences.
