We are a boutique corporate and commercial transactional law firm based in Fairfield, New Jersey. Our firm represents a wide array of businesses, partnerships, funds, and high net worth individuals that require high quality, sophisticated corporate legal services. The successful candidate will be responsible for negotiating and drafting documents related to a range of corporate and commercial transactions and general corporate matters, and for advising clients with respect to such matters.
The position is a part-time position, with the possibility (though not the requirement) to become full-time in the future. The position has a flexible schedule with total hours per week ranging between 5 and 30 hours. We will consider, among others, qualified candidates who are interested in re-entering the legal profession.
Requirements
- Minimum of 3 to 6 years of (i) experience working in the corporate department of a New York City law firm or in the corporate department of a top New Jersey law firm, or (ii) other comparable law firm experience.
- New Jersey bar is required, New York bar is preferred.
- Extensive experience representing clients with respect to some, if not all, of the following types of matters:
- mergers and acquisitions
- equity financing of start-up ventures and small to mid-size businesses
- debt financing
- partnership and/or joint venture structuring (including negotiating and drafting LLC Operating Agreements)
- commercial transactions
- general corporate maters
- Experience working with venture capital funds, private equity funds and/or hedge funds is preferred.
- Familiarity with corporate tax matters is preferred, but not required.
- The successful candidate will be hard working, motivated, responsive, flexible and have the experience and ability to operate independently.
- The successful candidate will have the ability to “think on their feet” and will have great problem solving skills.
- Portable business and/or the ability to generate business is preferred, though not required.
